SFAI recognizes that best corporate governance practices incorporate a set of principles, rules and processes designed to balance the interests of shareholders, management and other stakeholders, ensuring transparent and efficient management within organizations.
The OECD/G20 Principles of Corporate Governance, adopted in September 2023, are the most recent and widely accepted international standard.
We support public and private organizations in the real sector, as well as financial institutions, across Colombia and Latin America. We develop advisory and consulting processes based on technical frameworks recognized as best practice: Código País – Country Code Survey (SFC), the G20/OECD Principles, IFC guidelines and good practices for state-owned entities.
We redefine and apply corporate governance best practices; we develop the 5 pillars of corporate governance and implement the process based on structure, roles and responsibilities, avoiding unnecessary bureaucracy within the organization.
Our professional practice shows us that the golden rule for a sound corporate governance and sustainability consulting approach is to integrate ESG criteria (Environmental, Social and Governance) directly into the organization's core strategy and decision-making structure.
We design and implement tailored governance structures to optimize the relationship between the Shareholders' Meeting, the Board of Directors, Senior Management, Committees, the Corporate Secretary's office, internal control, risk, ESG and succession.
We have a multidisciplinary team of professionals specialized in sustainability, climate change and corporate governance, backed by innovative technology to deliver effective solutions that create value for our clients.
A comprehensive consulting approach, designed to optimize the pillars of modern corporate governance, integrating business strategy, technology and social impact.
At SFAI Colombia we understand corporate governance and sustainability not as a regulatory compliance exercise, but as the strategic core that safeguards market trust, ensures the long-term viability of organizations and guarantees absolute consistency between what we advise and what we apply in our own operations.
Independence in mind and appearance — a fundamental pillar of our assurance and oversight services. We maintain absolute objectivity, free of influences, bias or pressure that could compromise our teams' professional judgment.
| Dimension | Key performance indicator (KPI) | Annual target |
|---|---|---|
| Governance | Annual independence declarations signed and validated. | 100% of staff. |
| Governance | Average annual training hours in ethics, statutory audit and corporate governance. | Minimum 15 hours per auditor/consultant. |
| Social | Staff turnover rate during peak tax-season periods. | Below 10% per season. |
| Social | Percentage of women partners, associates or line directors. | Annual increase toward parity (50%). |
| Environmental | Reduction in reams of paper consumed per project delivered. | 30% annual reduction. |
| Environmental | Reduction of emissions from non-critical corporate travel through virtual committee meetings. | 15% annual reduction. |
Oversight of this model is carried out by the Ethics, Quality and Sustainability Committee of the Firm, which reviews these indicators quarterly. Consolidated results are published annually in our Corporate Transparency Report, available to clients, regulators and stakeholders.

We give the same level of importance to sustainable development as to the organization's economic development.
Whatever type of organization —public or private, small or global, domestic or multinational— it carries an unavoidable commitment to our planet. At SFAI we understand this, which is why we help organizations commit to actions that have a positive impact on our society.
A sustainable organization makes a difference: consumers place greater value on purpose-driven companies committed to sustainability and to mitigating, preventing and controlling climate change. Our approach seeks the right balance among the economic, social and environmental pillars, as a guarantee for defending and preserving our planet.
Preserving the oceans is essential to sustainability. Among other specialties, we advise on the development of environmental initiatives, promoting the disclosure of environmental and social information.

Sets out the fundamental guidelines of the code of ethics that our partners, directors, staff and contractors must observe in carrying out their activities, for as long as they maintain a professional or contractual relationship with our organization.
Download PDFThe Code is a guide designed to set priorities in decision-making, always favoring ethical conduct, so that each of our actions becomes an opportunity to put into practice the firm's main objectives, principles and values.
In accordance with Colombian Law 43 of 1990 and the IESBA Code, every staff member must strictly apply five basic principles:
A conflict of interest occurs when the personal, financial, family or business interests of a firm member clash —or appear to clash— with the objectivity required to audit or provide services to a client. The following are considered conflict situations: family ties or close relationships with the client, direct financial interests, past or future employment relationships with the client, provision of prohibited services (mixing audit with management functions), and excessive gifts or hospitality.
The Code implements a systematic process of identification of threats (self-interest, self-review, advocacy, familiarity or intimidation), evaluation of their significance, and application of safeguards — rotation of the lead partner or team, engagement of an independent Engagement Quality Control Reviewer (EQCR), or immediate removal (information barrier / 'Chinese wall'). If no safeguard reduces the threat to an acceptable level, the firm is obliged to decline or withdraw from the engagement.
If the threat is significant, the firm applies: immediate removal of the conflicted staff member, quality control review by an independent reviewing partner (EQCR), mandatory rotation of lead partners every five (5) or seven (7) years for public-interest entities, and withdrawal from the engagement if no safeguard proves sufficient.
The email address infobogota@sfai.co is enabled as a confidential channel for reporting any violation of this Code. Reports may be anonymous, and the firm guarantees no retaliation against good-faith whistleblowers.
Failure to comply with the guidelines of this Code is considered a serious breach of labor and professional duties, with sanctions ranging from written warnings and temporary suspension to termination of contract for just cause and formal referral to the Disciplinary Tribunal of the Central Board of Accountants (JCC).
